1. Agreement to Terms

By accessing or using ClinicUp's website and services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Description of Services

ClinicUp provides full-service digital marketing solutions for healthcare clinics, including but not limited to:

Website design and development
Social media marketing and management
Search engine optimization (SEO)
Paid advertising campaigns
Content creation and marketing automation
Reputation management

3. Service Packages and Billing

Monthly Packages

Our monthly marketing packages are billed on a recurring monthly basis. Charges will be automatically processed on the same day each month unless otherwise specified.

Cancellation Policy

You may cancel your monthly package at any time. Cancellations must be submitted in writing at least 30 days before the next billing cycle. No refunds will be provided for partial months.

One-Time Projects

One-time projects (such as website builds) require payment according to the agreed payment schedule. Typically, 50% is due upfront and 50% upon project completion.

4. Client Responsibilities

To ensure successful service delivery, clients agree to:

Provide timely access to necessary accounts, assets, and information
Respond to requests for feedback and approvals within reasonable timeframes
Provide accurate and complete information about their business
Comply with all applicable laws and regulations
Maintain active and valid payment methods

5. Intellectual Property

Client Content

You retain all rights to content you provide to us (logos, photos, text, etc.). By providing content, you grant us a license to use it for the purpose of delivering our services.

Work Product

Upon full payment, you will own the final deliverables created specifically for you (websites, custom graphics, etc.). We retain the right to use general methodologies, processes, and templates developed by us.

6. Advertising Spend

For packages that include paid advertising, the specified ad spend is separate from our service fee. Ad budgets are managed on your behalf but charged directly by the advertising platforms. We are not responsible for platform policy changes or account suspensions beyond our control.

7. Results and Guarantees

While we strive for excellent results, we cannot guarantee specific outcomes such as website traffic, lead generation, or revenue increases. Marketing results depend on many factors, some of which are outside our control. We commit to using industry best practices and our expertise to deliver the best possible results.

8. Confidentiality

Both parties agree to keep confidential information disclosed during the course of business private and secure. This obligation continues even after the termination of services.

9. Limitation of Liability

To the maximum extent permitted by law, ClinicUp shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to our services. Our total liability shall not exceed the amount paid by you in the three months preceding the claim.

10. Termination

Either party may terminate services:

With 30 days written notice for monthly packages
Immediately for material breach of these terms
Immediately for non-payment

Upon termination, you will receive final deliverables for work completed and paid for. Access to ongoing services will cease.

11. Third-Party Services

Our services may integrate with third-party platforms (e.g., social media networks, advertising platforms, email services). We are not responsible for the availability, policies, or practices of these third-party services.

12. Changes to Terms

We reserve the right to modify these terms at any time. We will notify clients of significant changes via email. Continued use of our services after changes constitutes acceptance of the new terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions.
